A&P, Pathmark File 14-day Notice Period with FTC

MONTVALE, N.J. -- The Great Atlantic & Pacific Tea Co. Inc. said yesterday that it has provided the Federal Trade Commission with the required two-week notice of its intention to complete the acquisition of Carteret, N.J.-based Pathmark Stores, Inc., effective Nov. 13. According to the notice, A&P may complete the acquisition any time after Nov. 27.

The deal is expected to close in early December, said A&P.

A&P said that it has executed an agreement with the FTC staff on required divestitures, and has entered into definitive asset purchase agreements with specific buyers for particular stores. The final agreement is subject to approval by the FTC's commissioners.

A&P operates 315 stores in 6 states and the District of Columbia under the following trade names: A&P, Waldbaum's, The Food Emporium, Super Foodmart, Super Fresh and Food Basics. Pathmark operates 140 supermarkets in the New York, New Jersey, and Philadelphia metropolitan areas.
